1. Acceptance of terms
By accessing or using the SealAudit platform, you agree to be bound by these Terms of Service. If you are using SealAudit on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree with any part of these terms, you must not use the platform.
2. Description of service
SealAudit provides a compliance workflow platform that enables organizations to configure, execute, and audit field-based operational processes. The service includes workflow configuration, trigger management, verification controls, action execution, audit trail recording, and administrative tools. SealAudit is provided as a hosted software-as-a-service platform.
3. Account responsibilities
- You must provide accurate information when creating an account.
- You are responsible for maintaining the confidentiality of your authentication credentials.
- You are responsible for all activity that occurs under your account.
- You must notify SealAudit immediately if you suspect unauthorized access to your account.
- Organization owners are responsible for managing user membership and role assignments within their organization.
4. Acceptable use
You agree to use SealAudit only for lawful purposes and in accordance with these terms. You must not:
- Use the platform to violate any applicable law or regulation.
- Attempt to gain unauthorized access to other organizations' data or system infrastructure.
- Tamper with or attempt to manipulate audit trail records.
- Use the platform to collect personal data in violation of applicable privacy laws.
- Reverse-engineer, decompile, or disassemble any part of the platform.
- Use the platform in a way that could damage, disable, or impair its operation for other users.
5. Subscriptions and billing
- SealAudit offers subscription plans with different usage limits (QR codes and monthly actions). All plans include the same platform features.
- Subscription fees are billed monthly in advance. Prices are listed in US dollars.
- You may upgrade or cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- SealAudit reserves the right to adjust pricing with reasonable advance notice. Price changes will not apply mid-billing cycle.
- Usage beyond plan limits may be restricted until the plan is upgraded or the billing period resets.
6. Intellectual property
SealAudit and its original content, features, and functionality are owned by SealAudit and are protected by copyright, trademark, and other intellectual property laws. Your organization retains ownership of all data, workflow configurations, documents, and audit records uploaded to or created within the platform.
7. Data and audit trail
- You retain ownership of all data and content you submit to the platform.
- Audit trail records are stored in an append-only structure designed to preserve evidence integrity.
- SealAudit does not modify or delete audit records through normal product operations.
- You are responsible for exporting and retaining your data as needed. SealAudit is not a permanent archival service.
- Upon account termination, data may be deleted after a reasonable retention period, unless retention is required by law.
8. Limitation of liability
SealAudit is provided as-is without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law:
- SealAudit shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform.
- SealAudit's total liability shall not exceed the amount paid by you for the service in the twelve months preceding the claim.
- SealAudit does not guarantee that the platform will meet your specific compliance requirements or that it will be error-free or uninterrupted.
9. Indemnification
You agree to indemnify and hold harmless SealAudit and its operators from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these terms, or your violation of any rights of another party.
10. Termination
- You may terminate your account at any time by cancelling your subscription and deleting your organization.
- SealAudit may suspend or terminate accounts that violate these terms, with notice where practicable.
- Upon termination, your right to use the platform ceases immediately.
- Provisions that by their nature should survive termination (intellectual property, limitation of liability, indemnification, data ownership) remain in effect.
11. Modifications
SealAudit may modify these terms from time to time. Material changes will be communicated through the platform or by email with reasonable advance notice. Continued use of the platform after changes become effective constitutes acceptance of the modified terms.
12. Governing law
These terms are governed by and construed in accordance with applicable United States law, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of competent jurisdiction in the United States.
